Terms of Service

1. Who We Are

Coffer Studios ("we", "us", "our") operates cofferstudios.com. These terms apply to anyone who pays for a service, quote or consultation through this website. By using our services, you agree to these terms; if you don't agree, please don't use them.

2. Services & Payment Structure

We offer three ways to pay upfront through this site: a fixed-price service deposit, a paid custom quote, and a paid consultation call. Each is a flat fee charged before any project work begins; the exact scope and final price of a project are always agreed separately, in writing, before full work starts. Prices shown are exclusive of applicable taxes unless stated otherwise.

3. Client Responsibilities

To deliver your project, we need you to provide accurate and complete information about your product, business and requirements, and to give us timely feedback and approvals at each stage, since delays on your end will delay the project. You're responsible for ensuring you have the rights to any reference material, logos, or existing designs you give us to work from, and for making sure your project doesn't ask us to infringe someone else's intellectual property or break the law.

4. Refunds & Cancellations

Service deposits and custom quote fees. If you decide not to proceed after paying, the fee is non-refundable. If you do proceed to a full project, the fee is credited toward your project cost. If we decide we're unable to take on your project, we'll refund what you paid, minus any payment processing fee charged by our payment provider (e.g. Stripe): that portion isn't refundable to us either, so it can't be refunded to you.

Consultation calls. If you don't attend your scheduled call, it's non-refundable. If we're unable to make the call, you can choose to reschedule or receive a refund, minus any payment processing fee. If you move forward with a project after the call, $99 of the consultation fee is credited toward your project cost; the remainder, and the full fee if you don't move forward, is non-refundable.

5. Intellectual Property

Ownership of the intellectual property in your final designs transfers to you on full and final payment for the project. Until then, all design work remains the property of Coffer Studios. We reserve the right to showcase completed projects in our portfolio, on our website and on social media once your product is available in the market. Our own internal design processes, methods and tools are not covered by this transfer and remain our property.

6. Prohibited Uses

You agree not to use our services for any fraudulent or unlawful purpose, to provide us with counterfeit, infringing or misleading material to work from, or to copy, resell or misrepresent our design work or process as your own before it's been paid for and transferred to you under these terms.

7. No Guarantee of Outcome

We deliver design work to the standard agreed in your project brief. We don't guarantee commercial success, manufacturability by any specific third-party factory, or regulatory approval in any market: those depend on factors outside our control. Any timelines or delivery estimates we give are indicative only and not a binding commitment unless confirmed in writing for your specific project.

8. No Warranty

Except as expressly stated in these terms, our services and any materials we provide are offered "as is", without warranties of any kind, whether express or implied, including any implied warranty of merchantability or fitness for a particular purpose, to the fullest extent the law allows.

9. Force Majeure

We're not responsible for delays or failure to perform caused by events reasonably outside our control, including natural disasters, supplier or factory disruption, internet or power outages, or outages of third-party services we rely on (such as our payment, hosting or booking providers).

10. Indemnification

You agree to indemnify and hold Coffer Studios harmless from claims, damages or liabilities arising from your breach of these terms, your violation of any law or a third party's rights, or the reference material or information you provide for us to use in your project.

11. Limitation of Liability

Our total liability for any claim relating to work commissioned through this site is capped at the total fees you paid us for that project. We are not liable for indirect, incidental or consequential losses, including lost profits or lost business, even if we were told these were possible. Nothing in these terms excludes, restricts or modifies any guarantee, right or remedy under the Australian Consumer Law or other law that cannot lawfully be excluded, including for fraud, or death or personal injury caused by our negligence.

12. Termination

We may suspend or terminate a project if you breach these terms, engage in unlawful activity, or repeatedly fail to provide the information or approvals we need to continue. You can end an engagement at any time with written notice; the refund and cancellation terms above still apply to any fees already paid.

13. Governing Law

These terms are governed by the laws of Australia, and any dispute arising from them will be handled in Australian courts.
